Terms and conditions for AI Enhanced Services

1. Introduction

These Terms and Conditions ("Terms") govern the use of services provided by Quintessence Limited ("Company," "We," "Us," or "Our") relating to AI-generated content, including image enhancement, 3D modelling, and software development based on AI-generated briefs (collectively, the "Services"). By engaging with our Services, you agree to comply with these Terms.

2. Definitions

  • AI Works: All outputs generated, transformed, or enhanced by artificial intelligence in the course of our Services.

  • Hallucinations: Instances where the AI generates outputs that do not accurately represent the intended or factual content.

  • Client Materials: Any images, designs, briefs, or other materials provided by the client for enhancement, modelling, or any other purpose related to our Services.​

3. Client Responsibilities

  • The Client is responsible for ensuring that all Client Materials provided to us are either original works or provided with appropriate rights and permissions.

  • The Client must provide clear and accurate briefs to ensure effective AI processing. Ambiguity in briefs may lead to unintended outcomes or hallucinations.

4. Limitations of Liability

  • While We strive for high-quality outputs, We do not guarantee that AI Works will meet all Client expectations or be free from errors, inaccuracies, or hallucinations.

  • The Client acknowledges that AI-generated content may not represent reality and, as such, agrees that We are not liable for any errors, omissions, or hallucinations in the AI Works produced.

5. Intellectual Property

  • Ownership: Upon full payment for Services, the Client will retain ownership of the Client Materials. The Company will retain ownership of all AI Works and any underlying technology used to produce them, unless otherwise agreed in writing.

  • License to Use: The Company grants the Client a non-exclusive, royalty-free license to use the AI Works for personal or commercial purposes, subject to compliance with these Terms.

6. Warranties and Disclaimers

  • The Company does not warrant that the Services or any AI Works will be uninterrupted, error-free, or free from harmful components. All Services are provided "as is" without any warranties of any kind.

  • The Client acknowledges that AI-generated content does not always reflect specific nuances of a project and that the Company is not liable for any outcomes resulting from reliance on AI Works.

7. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Company, including its employees, agents, and affiliates, from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising out of or related to:

  • The use of Client Materials.

  • Any inaccuracies or hallucinations in AI Works leading to claims against the Company.

8. Governing Law

These Terms and any disputes arising under or in connection with them shall be governed by and construed in accordance with the laws of the United Kingdom, England, Ireland and Wales.

9. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website and Clients will be notified accordingly. Continued use of the Services after any changes constitutes acceptance of the new Terms.
